Referral and Client Credit Policy

1. Purpose

The purpose of this policy is to:

  1. Outline the processes, requirements and outcomes for Australian Referrers who Refer Australian Clients to Nexus Polytech.
  2. Outline the processes, limitations, conditions and requirements for the application, expiration and accruement of Client Credit.
  3. Outline how Nexus Polytech engages with Referrers and Clients with an ethical, professional, and fair approach.


2. Scope

This policy applies to Nexus Polytech, all employees of Nexus Polytech, all Australian Clients of Nexus Polytech and all Australian Referrers who Refer to Nexus Polytech. This Policy does not apply to Referrers, including non-Australian Referrers, that have an agreement with Nexus Polytech that explicitly supersedes this policy.

This policy is deemed to be in effect immediately from the time it is published.

3. Definitions

Within and for the purposes of this policy:

3.1 Australian shall mean:

  • For an individual: being a citizen or permanent resident of Australia
  • For an incorporated entity: being incorporated inside Australia and with the majority of its operations occurring within Australia
  • For an unincorporated entity: allowing membership to only Australian individuals and with a majority of operations occurring within Australia and with the primary purpose/objective of the entity being conducted within Australia

3.2 Client shall mean any:

  • entity that engages Nexus Polytech to provide any service or product, or is the recipient of any service or product from Nexus Polytech; and
  • has compensated Nexus Polytech in whole for the service(s) and/or product(s) provided, as determined by Nexus Polytech.

3.3 Client Credit shall mean the amount accrued by the Client Credit reward program as outlined in section 4 of this policy.

3.4 Refer shall mean to make an entity aware of Nexus Polytech and direct that entity to Nexus Polytech, where that entity did not know about Nexus Polytech and did not send to or had not been sent any communication with Nexus Polytech.

3.5 Referral shall mean the act performed by a Referrer to Refer a Client to Nexus Polytech, subject to section 5.3 of this policy.

3.6 Referrer shall mean any individual, business, company, incorporated association, or unincorporated association that Refers a Client to Nexus Polytech. A Referrer shall not include any entity that has been engaged by Nexus Polytech, for fee or otherwise, to promote or advertise Nexus Polytech or it’s services, or engage in any other activities with the intended purpose of finding Clients or potential Clients for Nexus Polytech.


4. Client Credit

4.1 The Client Credit rewards program

There shall be a Client Credit rewards program that rewards Clients and Refers with Client Credit when they perform certain actions as specified in this policy.

4.2 What is Client Credit

Client Credit is the accrued rewards of the Client Credit rewards program. Client Credit is not money or any form of currency. Client Credit is represented as a numeric dollar figure and is usable to compensate Nexus Polytech for any services or products provided equal face value of the Client Credit.

4.3 How Client Credit is accrued

A Client may accrue Client Credit if:

Subject to clause 5.2.1 of this policy, a Referrer may accrue Client Credit if they Refer a Client to Nexus Polytech. The Client Credit accrued by the Referrer will be a percentage of the value of the work performed for the referred Client:

4.4 Limitations of Client Credit

The following limitations shall apply to Client Credit:

  • Client Credit can not be exchanged for money or any currency.
  • Client Credit may not be deposited into a bank account or transferred to any other program or scheme.
  • Client Credit may only be used by the Client or Referrer it was accrued by.


4.5 Expiration of Client with Client Credit

If a Client is due to expire and has unused Client Credit, they may nominate in writing a related entity that will receive their Client Credit.

Nexus Polytech in its sole discretion may determine if the nominated entity is a related entity to the Client. The criteria for this determination is at the sole discretion of Nexus Polytech but must be reasonable.

If a Client fails to nominate an entity to make a transfer to before they expire, Client Credit that had been accrued by that Client or was going to be accrued by that Client will be destroyed and the appropriate resources of equal value of the Client Credit will be directed to Nexus Polytech’s Giving Back programs.

For the purposes of this section, a Client is deemed to expire if they/it no longer complies with this policy or:

  • In the case of a natural person: that person is no longer alive and is dead.
  • In the case of a company: The company is deregistered or wound up, or the processes to do so have commenced.
  • In the case of an incorporated association: The association’s incorporation is cancelled or the corporation is no longer incorporated, or the processes to do so have commenced.
  • In the case of any other entity: As determined by Nexus Polytech in its sole discretion.


5. Referral Program

5.1 The Referral Program

There shall be a Referral Program that appropriately demonstrates appreciation for Referrers who Refer a Client to Nexus Polytech.

5.2 Outcome of a successful Referral

If a Referrer Refers a Client to Nexus Polytech and that Client:

  • engages Nexus Polytech to provide any service or product, or is the recipient of any service or product from Nexus Polytech; and
  • has compensated Nexus Polytech in whole for the service(s) and/or product(s) provided

then the Referrer will accrue Client Credit or receive a deposit in accordance with this policy.

5.2.1 Alternative to Client Credit

As an alternative to accruing Client Credit for a Referral, a Referrer may opt to have half of the value of the Client Credit accrued from a Referral deposited as Australian Dollars into an account held by an Australian authorised deposit-taking institution. If a Referrer opts for this, they must notify Nexus Polytech in writing prior to the accrual of the Client Credit. For the avoidance of any doubt, a Referrer who opts for this will not receive any Client Credit for the Referral.

A Referrer must provide their bank account details to Nexus Polytech by using this form. Bank account details provided by a Referrer may be stored and used for future deposits made in accordance with this policy. It is the sole responsibility of the Referrer to inform Nexus Polytech of any changes to bank account details held by Nexus Polytech for the purposes of making deposits in accordance with this policy.

Nexus Polytech is not liable or responsible if the account details provided by the Referrer are incorrect for any reason, including but not limited to wrong account, wrong BSB, or if the Referrer does not have access to the account. Any deposits made to an account provided by a Referrer that do not return to Nexus Polytech will be treated as deposited irrespective if the funds are received or not, and the Referral will be deemed finalised.

A Referral will be deemed has having been finalised and the Referrer rewarded upon the deposit to a bank account in accordance with this policy.

5.3 What is not deemed to be a Referral

The following is not deemed to be a Referral in the content with this policy:

  • The Client had correspondence or communication with Nexus Polytech prior to the Referral.
  • Nexus Polytech had sent correspondence to or had communicated (successfully or otherwise) with the Client prior to the Referral.
  • The Client was aware of Nexus Polytech Prior to the Referral.
  • The Client did not engage Nexus Polytech within 6 months of when the Client was Referred to Nexus Polytech.
  • The Referrer is a Director, Shareholder, Trustee, Beneficiary, Member, Employer, Employee, Office Holder, associated entity, subsidiary, holding entity, or related entity of the Client.


6. Rights Reserved

For the purposes of this policy, Nexus Polytech maintains the right to:

  • Use it’s discretion to determine anything undefined in this policy.
  • Update this policy at any time without prior notice.
  • Determine in its sole discretion which policy applies to a Client or Referrer if this policy is updated between the time an event is initiated and finalised.
